Trading Terms & Conditions

Consulting, Installation and Support Services

These Trading Terms and Conditions apply to all consulting, installation, support and related services supplied by Onvion Pty Ltd (ABN 76 694 580 437) (“Onvion”, “we”, “us”, “our”) to the customer (“you”, “your”).

By engaging our services, you agree to these terms.

 

Scope of Services

Onvion provides professional consulting, installation, commissioning, technical support and related services as agreed in writing with you.

​

The scope, pricing and timing of services will be set out in a written proposal, quote, work order, support package or statement of work. Any changes to scope may result in additional charges.

​

Quotes and Acceptance

  • All quotes are valid for 30 days unless stated otherwise.

  • Acceptance may be provided by written confirmation, purchase order, email approval or commencement of work.

  • Once accepted, the quote or agreement forms part of these Trading Terms and Conditions.

Pricing and Variations

  • Prices are exclusive of GST unless stated otherwise.

  • Any work outside the agreed scope will be charged at the agreed rates or, where not agreed, at Onvion’s standard hourly rates.

  • Where reasonably practical, you will be notified of variations before the work is carried out.

Payment Terms

  • Payment terms are 7 days from date of invoice.

  • Invoices may be issued on completion of services or at agreed milestones.

  • Payment must be made in full without set-off or deduction.

 

If payment is not received by the due date, Onvion may:

  • Suspend or withhold further services

  • Charge interest on overdue amounts at a reasonable commercial rate

  • Recover all reasonable costs associated with debt recovery, including legal and collection fees

 

Support Packages (Pre-Purchased Hours)

Where agreed, Onvion may offer support packages consisting of a set number of consulting or technical support hours per month (for example, 10 or 20 hours) (“Support Package”).

  • Support Packages must be agreed in writing and are billed monthly in advance unless agreed otherwise.

  • Support hours may be used for consulting, remote support, planning, troubleshooting, coordination or other agreed services.

  • Support time is tracked in increments of 15 minutes unless otherwise agreed.

 

Unless expressly stated in writing:

  • Support hours do not roll over to subsequent months

  • Unused hours are forfeited at the end of each month

  • Support Packages are non-refundable

 

Where usage exceeds the included hours:

  • Additional time will be charged at Onvion’s standard hourly rates, or

  • Added to an agreed additional support package

 

Support Packages provide priority access but do not guarantee specific response times unless agreed in writing.

 

Onvion may review, amend or discontinue Support Packages with reasonable written notice. Changes will not affect hours already paid for in the current billing period.

Client Responsibilities

You agree to:

  • Provide accurate information and timely instructions

  • Provide safe, compliant and unrestricted access to sites as required

  • Obtain any required approvals, permits or consents unless agreed otherwise

 

Any delays, rework or additional costs caused by failure to meet these responsibilities may be charged to you.

Installation Services

Where installation services are provided:

  • Work is limited strictly to the agreed scope

  • Onvion is not responsible for pre-existing faults, defects or site conditions unless expressly agreed

  • Any additional or remedial work identified during installation will be quoted separately

 

You warrant that sites are safe and suitable for installation works.

 

Travel and Remote Installation Work

Where services are required outside a metropolitan area or involve significant travel, additional charges may apply.

 

Unless otherwise agreed in writing:

  • Travel time may be charged at Onvion’s standard hourly rates

  • Reasonable travel expenses may be charged, including flights, accommodation, vehicle costs and meals

  • Remote or regional work may be quoted separately or billed on a time and materials basis

 

Any travel-related costs will be advised in advance where reasonably practical.

Warranties and Limitation of Liability

  • Services are provided with due care and skill in accordance with Australian Consumer Law

  • To the extent permitted by law, all other warranties are excluded

 

Onvion is not liable for indirect, consequential or loss of profit damages.

​

Onvion’s total liability for any claim is limited to the value of the services supplied under the relevant agreement.

​

Intellectual Property

All intellectual property, reports, documentation, methods and materials created by Onvion remain our property until full payment has been received.

​

Unless agreed otherwise in writing, you are granted a non-exclusive licence to use deliverables for your internal business purposes only.

 

Confidentiality

Each party must keep confidential any commercial, technical or operational information obtained during the engagement, except where disclosure is required by law or agreed in writing.

​

Termination

Either party may terminate an engagement:

  • By written agreement, or

  • If the other party materially breaches these terms and fails to remedy the breach within a reasonable time

 

You remain liable for all work completed and costs incurred up to the termination date.

​

Force Majeure

Onvion is not liable for delays or failure to perform services due to events outside our reasonable control, including weather events, supplier delays, access restrictions or industrial action.

​

Governing Law

These terms are governed by the laws of the State or Territory in which the services are provided, and the parties submit to the jurisdiction of those courts.

​

Entire Agreement

These Trading Terms and Conditions, together with any accepted quote, support package or agreement, form the entire agreement between the parties and override all prior discussions or understandings.
